Welcome to Mojeeb. These Terms and Conditions ("Terms") govern your use of our AI-powered customer engagement platform and related services (the "Services"). By accessing or using Mojeeb, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. Acceptance of Terms

By creating an account or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Service Description

Mojeeb provides an AI-powered customer support platform that includes:

• Automated customer support chat services
• Sentiment analysis and emotion detection
• Multi-channel support integration
• Analytics and reporting dashboard
• Human agent handoff capabilities
• Customizable chat widgets and interfaces

We may modify, enhance, or discontinue features at any time. We will use reasonable efforts to notify you of material changes that adversely affect core functionality.

3. Account Registration

To use our services, you must:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Safeguard your account credentials and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use or security breach
• Be at least 18 years old or have legal capacity to enter into contracts

4. Acceptable Use Policy

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Engage in fraudulent or deceptive practices
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service or servers
• Use the service for any unlawful or unauthorized purpose
• Send unsolicited, bulk, or spam messages, or message any recipient who has not provided a valid opt-in or with whom you lack a lawful basis to communicate
• Reverse engineer, decompile, scrape, or attempt to derive the source code or underlying models of the Services
• Resell, sublicense, or provide the Services to third parties except as expressly permitted in writing
• Impose an unreasonable or disproportionate load on our infrastructure, or circumvent usage limits applicable to your plan

5.1 Plans and Pricing

We offer various subscription plans as detailed on our pricing page. Prices are subject to change with reasonable notice.

5.2 Billing

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You authorize us to charge your payment method for all applicable fees
• Failed payments may result in service suspension or termination
• Fees are exclusive of taxes; you are responsible for any applicable taxes, duties, or withholdings other than taxes on our net income

5.3 Free Trial

If we offer a free trial, it will convert to a paid subscription unless cancelled before the trial period ends.

6. Intellectual Property

6.1 Our Property

All content, features, and functionality of Mojeeb, including but not limited to text, graphics, logos, and software, are owned by Mojeeb or its licensors and are protected by intellectual property laws.

6.2 Your Content

You retain ownership of content you submit through our services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content as necessary to provide our services. You represent and warrant that you own or have the necessary rights to all content, product information, and knowledge-base material you upload, and that it does not infringe the rights of any third party.

6.3 Feedback

If you provide suggestions, feedback, or ideas about the Services, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use and incorporate them without obligation or compensation to you.

7. AI Services — Nature and Limitations

7.1 Automated, Probabilistic Output

The Services use artificial intelligence and large language models to generate responses automatically. AI output is probabilistic and non-deterministic: it may be inaccurate, incomplete, outdated, misleading, or inappropriate, and identical inputs may produce different outputs. We do not warrant the accuracy, reliability, suitability, or completeness of any AI-generated content, and AI output does not represent our advice, opinion, or endorsement.

7.2 Your Configuration and Oversight

You are solely responsible for configuring the AI agent, for the instructions and knowledge-base content you supply, and for reviewing and monitoring its behaviour. Messages generated by the Services and sent through your channels are your communications, issued in your name and on your behalf, and you are responsible for them as if you had written them yourself. You agree to implement appropriate human review and escalation for any sensitive, high-value, or consequential interaction, and to make use of the human-handoff and agent-pause controls we provide.

7.3 No Professional Advice

The Services are not a substitute for professional judgement and must not be relied upon to provide medical, health, pharmaceutical, legal, financial, tax, insurance, or other regulated or professional advice. If you operate in a regulated sector, you are solely responsible for ensuring your use of the Services complies with all applicable regulatory requirements, for implementing qualified human oversight, and for any disclaimers or notices your regulator requires you to present to end users. You must not configure the AI agent to diagnose conditions, recommend treatment or dosage, or make regulated determinations.

8. Third-Party Platforms and Integrations

The Services connect to platforms and tools operated by third parties, including WhatsApp, Instagram, Facebook Messenger, Google, Shopify, and payment providers. These third parties are independent of us and govern their own services.

• Your use of any third-party platform is subject to that party's own terms and policies, which you are responsible for reviewing and complying with
• We do not control and are not responsible for third-party availability, performance, pricing, policy changes, API changes, deprecations, or decisions to restrict, suspend, or terminate your access
• Integrations may cease to function, with or without notice, if a third party changes or withdraws access, and this shall not constitute a failure of the Services
• You authorize us to access and exchange data with these platforms on your behalf to the extent necessary to provide the Services

9. Data Processing and Your Compliance

We process data in accordance with our Privacy Policy. You acknowledge that:

• Our AI may analyze conversation content to provide services
• Aggregated, anonymized data may be used to improve our services
• You have obtained necessary consents from your customers for data processing
• You comply with applicable data protection laws

With respect to personal data of your own customers and end users that is processed through the Services, you act as the data controller and we act as your data processor, processing such data only on your documented instructions and as necessary to provide the Services. You represent and warrant that you have a valid lawful basis for the processing, that you have provided all required privacy notices to your end users, and that you have obtained and can evidence any consents required. You are responsible for responding to your end users' data-subject requests, and we will provide reasonable assistance.

10. Service Availability

Unless we have signed a separate written service level agreement with you, the figure above is a target only and not a warranty or contractual commitment, and no service credits or remedies arise from failing to meet it. The Services may be unavailable during scheduled or emergency maintenance, or due to factors outside our reasonable control. Features designated as beta, preview, trial, or experimental are provided "as is", may be changed or withdrawn at any time, and are excluded from any availability target.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. Without limiting the foregoing, we do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• AI-generated output will be accurate, appropriate, complete, or fit for any particular purpose
• The Services will detect every urgent, sensitive, or high-risk message, or correctly escalate it to a human
• Defects will be corrected, or that the Services are free of harmful components
• Results obtained from the Services will meet your expectations or produce any particular commercial outcome

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "AS IS" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
• We are not liable for indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim

For clarity, and to the maximum extent permitted by law, we shall have no liability whatsoever for: loss of profits, revenue, business, goodwill, reputation, anticipated savings, or opportunity; loss, corruption, or inaccuracy of data; business interruption; the content, accuracy, or consequences of any AI-generated message sent through your account; any decision made or action taken by you or your end users in reliance on AI output; any claim brought by your customers or end users; or any suspension, restriction, or ban imposed on you by a third-party messaging platform. This allocation of risk is a fundamental basis of the bargain between us and is reflected in our pricing. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, gross negligence, or wilful misconduct.

13. Indemnification

You agree to indemnify, defend, and hold harmless Mojeeb and its affiliates from any claims, losses, damages, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data
• Messages sent through your account, including their content and the consequences of sending them
• Claims, complaints, or regulatory actions brought by your customers or end users, including those relating to privacy, consent, or the AI agent's responses
• Any fine, penalty, or enforcement action imposed by a regulator, telecommunications authority, or messaging platform in connection with your use of the Services
• Your breach of any applicable law, including data-protection, marketing, consumer-protection, or sector-specific regulation

This obligation includes reasonable legal fees and costs, and survives termination. We will notify you of any claim for which we seek indemnification and may, at our option, participate in its defence with counsel of our choosing.

14. Suspension of Service

We may suspend or restrict your access to the Services, in whole or in part, immediately and without prior notice where we reasonably believe it is necessary to: (a) address non-payment of fees; (b) prevent or stop abuse, spam, fraud, or a breach of the Acceptable Use Policy; (c) protect the security, integrity, or availability of the Services or other customers; (d) comply with law, a court order, or a demand from a messaging platform or regulator; or (e) mitigate a material legal or reputational risk. Where practicable we will notify you and restore access promptly once the cause is resolved. Suspension does not relieve you of your payment obligations.

15. Termination

15.1 By You

You may terminate your account at any time through your account settings or by contacting support.

15.2 By Us

We may suspend or terminate your account if you violate these Terms or for any other reason with notice.

15.3 Effect of Termination

Upon termination:

• Your access to the services will cease immediately
• We may delete your data after a reasonable retention period
• You remain liable for any outstanding fees
• Provisions that should survive termination will remain in effect

You are responsible for exporting any data you wish to retain before termination takes effect. Following termination, data is deleted in accordance with the retention periods set out in our Privacy Policy.

16. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, epidemic or pandemic, war, terrorism, civil unrest, strikes, government action, sanctions, changes in law, failures or interruptions of electricity, internet, telecommunications, hosting, or third-party platforms, cyberattacks, or denial-of-service attacks.

17. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through our platform. Continued use of our services after changes constitutes acceptance of the modified Terms.

18. Governing Law and Disputes

These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict of law principles. The courts of Cairo, Egypt shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive or equitable relief in any competent jurisdiction to protect our intellectual property or confidential information. Any claim must be brought within one (1) year after it arises, failing which it is permanently barred, to the extent permitted by law. Each party waives any right to participate in a class or representative action.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mojeeb.

19.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

19.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.

19.4 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

19.5 Survival

Sections concerning intellectual property, AI limitations, data processing, disclaimers, limitation of liability, indemnification, governing law, and any payment obligations accrued before termination survive termination or expiry of these Terms.

19.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Mojeeb. There are no third-party beneficiaries to these Terms.
